Public Listings and Mergers & Acquisitions

Lord Commercial Lawyers has done a number of public listings. This area of practice is headed up by Andrew Lord, a practitioner with over 20 years’ legal experience in all facets of commercial law.

One of the advantages of using our firm is that there is very little chance of conflict. A great many practices, by virtue of the sheer number of M&A and public listing work that they have been involved in, are invariably run into conflict of interest situations, which are sometimes managed by “Chinese Walls”. This, however, is far from ideal.

Our firm is also happy to accept referrals from other law firms where they feel that they are conflicted out of a matter, especially by virtue of being unable to act for organisations that happen to use the same law firm.

In such circumstances, we pledge that, once the transaction is completed, we make no further overtures to the client to avail ourselves of work from that source.

Our boutique practice can guarantee that no such scenario can occur. Lord Commercial Lawyers can handle all facets of public listings and M&A matters, more particularly described as follows:

  • Preparing prospectuses
  • Due diligence
  • Dealing with regulators
  • Float terms
  • Corporate governance

We have a tremendous amount of experience in M&A transactions, ranging from conceptualisation, negotiation and legal packaging to facilitate mergers and acquisitions.

We are intimately familiar with all facets of corporate governance and offshore considerations insofar as they pertain to corporate secretarial and legal insight.
